Terms of Service

These terms are an agreement between you and PanoFox ("we", "us") for the use of panofox.com, the PanoFox web app, the PanoFox Capture iPhone app, published tours and related services (the "Service"). If you use the Service for an organization, you accept these terms on its behalf and confirm you are authorized to do so; "you" then means that organization. If you do not agree, do not use the Service.
1. Accounts
- You must be at least 18 and give accurate account information, including a working email address and mobile number.
- You are responsible for your account, for keeping your password and paired devices secure, and for everything done by the people you invite. Tell us promptly at support@panofox.com if you suspect unauthorized access.
- The person who creates an organization's account is its Owner and can manage members, permissions and billing.
2. Subscriptions, payment and cancellation
- Paid plans are billed in advance, monthly or yearly, through Stripe. Prices and plan limits are shown before you subscribe. Taxes are added where they apply.
- Subscriptions renew automatically at the end of each period until you cancel. You can cancel at any time from the billing page; your plan stays active until the end of the period you have paid for, and is not renewed.
- Payments are non-refundable, including for partly used periods and for unused tours or limits, except where the law requires a refund. If you believe you were charged in error, contact support@panofox.com within 30 days.
- If a payment fails, we will retry it and let you know. If it is still unpaid after a grace period, we may limit the account to read-only and later suspend it until payment is made.
- We may change prices or plans for future periods; we will tell you at least 30 days in advance, and you can cancel before the change applies.
3. Your content
- You keep all rights to the photos, scans, depth data, panoramas, tours and other material you upload or create ("Your Content").
- You give us a limited license to host, store, process, copy, display and transmit Your Content only to provide and improve the Service for you, for example to stitch panoramas, generate staging candidates and serve published tours. We do not use Your Content to train AI models, and we do not sell it.
- When you publish a tour, anyone with the link (or on a page where you embed it) can view it. You choose what to publish and can unpublish at any time.
- You confirm that you have the rights and permissions needed for Your Content: the owner's or occupant's permission to capture a space, permission from any identifiable people, and the right to use any artwork, brands or other material that appears in it.
4. AI staging
AI staging creates virtual furniture and decor in images of a space. Staged images are illustrations, not photographs of the space as it is; they may contain errors, and nothing is published until you review and approve it. You are responsible for checking staged images and for labeling them as virtually staged wherever the law, your professional rules or the platforms you use require it, for example in property listings.
5. Acceptable use
You will not use the Service to:
- capture or publish spaces or people without permission, or publish content that reveals someone's private information, security details or vulnerabilities without their consent;
- upload unlawful, infringing, deceptive, harassing, sexually explicit or violent content, or misrepresent a property;
- break the law, including privacy, consumer protection, fair housing and anti-discrimination laws;
- probe, overload or attack the Service, bypass its limits or security, or access other customers' data;
- resell or sublicense the Service except as your plan allows, or copy it to build a competing product.
We may remove content or suspend accounts that break these rules, and will tell you why unless the law or safety prevents it.
6. Communications
We send account, security and billing emails as part of the Service. Marketing email and text messages are optional and sent only with your consent; see the Messaging terms and the Privacy Policy.
7. Availability and changes
We work to keep the Service available and your data safe, but the Service is provided without a guarantee of uninterrupted availability. We may improve, change or retire features; if a change materially reduces what you pay for, we will tell you in advance and you may cancel. Keep your own copies of important original files.
8. Ending the agreement
You can stop using the Service and delete your account at any time. We may suspend or end your access if you materially break these terms or fail to pay, or if the law requires it. After an account is deleted, its data is kept for a 30-day grace period and then permanently deleted, as described in the Privacy Policy. Owners can export their data before deletion.
9. Disclaimers
To the extent the law allows, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Measurements, panoramas, depth data and staged images are visual aids, not surveys or appraisals.
10. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, and our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim. Nothing in these terms limits liability that cannot be limited by law.
11. Indemnity
You will defend and indemnify us against third-party claims arising from Your Content or from your use of the Service in breach of these terms or the law.
12. General
- These terms are governed by the laws of the State of Illinois, United States, without regard to conflict-of-law rules, and disputes will be heard in the state or federal courts located in Cook County, Illinois, unless the law of your country gives you the right to bring a claim where you live.
- We may update these terms. We will post changes here and, for significant changes, tell account Owners by email at least 30 days before they apply. Continuing to use the Service after that means you accept the new terms.
- If part of these terms is unenforceable, the rest still applies. Not enforcing a right is not a waiver. You may not transfer this agreement without our consent; we may transfer it with the business.
- These terms, the Privacy Policy, the Messaging terms and the plan details you accept are the whole agreement between us about the Service.
